WerfenLife, S.A. (“Werfen”) welcomes you to the Werfen Academy site https://academy.werfen.com (the “Site”). Werfen is a Spanish company, duly registered with the Commercial Registry of Barcelona, holding tax Identification number A-08754111 and with corporate address at Plaza Europa 21-23, 08908 L’Hospitalet de Llobregat, Barcelona, Spain. You can contact us by phone at +34934010101 or by email through the Contact Us section of this Site accessible at https://academy.werfen.com/help.

The Site provides an e-learning platform for users to access Werfen educational courses and operator training content (the “Services”). Access and use of the Services requires the prior registration as a member of the Site, as explained more in detail in section “Registration and Use of the Site and Services” below.

The Site is intended for healthcare entities and individuals pursuing a commercial or professional activity only. Therefore, by accessing the Site and using the Services you warrant and represent that you are a healthcare entity or a healthcare individual of legal age in your jurisdiction.

Werfen may revise, modify and update these Terms at any time. All changes will take effect once they have been posted on the Site. Please ensure that you revisit and review these Terms regularly. Your continued use of the Site or Services will mean you accept the Terms. Should a substantial modification of these Terms take place, you will be asked to either expressly accept the revised Terms or to stop using the Site and the Services.

Werfen may at any time cease the operation of the entire Site or parts thereof. In such event, Werfen shall not accept any responsibility and shall not be liable for the continuous availability of the Site.

Registration and Use of the Site and Services

The Site is composed of two main sections:

Public section

This section contains general information on Werfen Academy and Werfen Educational courses, including a limited selection of Werfen Educational courses for free trial.

Restricted section

This section includes courses and contents specifically addressed to healthcare professionals, such as educational content and operator training e-learning courses.

Access to both sections is conditioned to the prior registration as a member of the Site (“Member”). Members must provide the following minimum information to create a Werfen Academy account: name, surname, email address, password, city and country. Members that are given access to the Restricted Section must also provide the following extra information about your professional profile such as: your job title, institution or company you work for, postal code and client ID. If you do not register as a Member, you will not be able to access the public and restricted sections and the courses and contents. Members should notify Werfen any changes to their personal data to ensure that the information in Werfen’s files is always up-to-date.

Access to the Restricted Section is subject to the payment of a fee.

Werfen reserves the right to deny registration to any user at its sole discretion. Werfen also reserves the right to subject any part of the Site to a registration requirement even if such part had previously been freely accessible.

 

 

Account Security

You are responsible for maintaining the confidentiality of your username and password that you designate during the registration process and you are fully responsible for all activities that occur under your username and password. You shall immediately notify us of any unauthorized use of your username or password or any other breach of security. Werfen will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

Limitations on Use

Werfen grants to you a limited personal, non-exclusive and non-transferable right and license to use the Site and its content. The Site including, without limitation, the content, metadata, design, organization, compilation, look and feel, articles, information and all other protectable content available through the Site (the “Proprietary Materials”) are Werfen’s property or the property of our licensors and are protected by copyright and other intellectual property laws. All rights regarding the Proprietary Materials are reserved by Werfen. Unless you have Werfen’s written consent, you may not copy, reproduce, sell, publish, distribute, display, retransmit, modify or otherwise provide public access to the Proprietary Materials received through the Site to anyone except for your personal non-commercial use. You agree not to rearrange, modify or create derivative works using the Proprietary Materials. You agree not to create, scrape or display our content for use on another web site or service, without our prior written consent. You agree not to post any content from the Site to weblogs, news groups, mail lists or electronic bulletin boards, without our written consent. Notwithstanding this limitation on posting content, you may post links to news, general information and events made available to you through the Site on your personal social media accounts (for example, Twitter®, Facebook®, LinkedIn® platforms) without our written consent. Any posts you make to your social media accounts are subject to the terms and policies of the respective social media platform and it is your responsibility to comply with these terms and policies. Please note that some links may resolve to sites or Services that will require a Werfen Academy account.

Conduct

User undertakes to use the Site and the information contained therein with due standard of care and to comply entirely with applicable legislation and these Terms. User may upload content or materials to the Site provided it complies with the rules of conduct established below and shall remain liable for any content or material uploaded.  

We reserve the right to terminate your Member status or prevent you from using the Site if you misuse the Site or violate these Terms including, without limitation, the following rules of conduct.

You may not:

·         Use a false identity for the purpose of misleading Werfen or others;

  • Upload, post, transmit to other Members or users of the Site, or employees of Werfen, by any means, or otherwise make available any content or materials that are unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • Impersonate any person or entity, including another Member or user of the Site, or employee of Werfen, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted;
  • Upload, post, email, transmit to other Members or users of the Site by any means, or otherwise make available any content or materials that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  • Upload, post, email, transmit to other Members or users of the Site by any means, or otherwise make available any content or materials that infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party;
  • Upload, post, transmit to other Member or user of the Site by any means, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
  • Upload, post, email, transmit to other Members or users of the Site by any means, or otherwise make available any material that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • Attempt to interfere with or disrupt our servers or networks or the Services provided to you;
  • Intentionally or unintentionally violate any applicable local, state, national or international law or any regulations having the force of law;
  • "Stalk" or otherwise harass another; solicit, collect or post personal data or attempt to solicit, collect or post personal data about other users, including user names or passwords; or access or attempt to access another user's account without his or her consent; and/or
  • Post, disseminate, transmit or otherwise distribute your personal data or plan data on any website or through other digital, electronic or printed forum.

Information Available Through the Site and Services

This Site and/or the Services may contain information about products, programs, events or resources that may not be available in all countries and that is subject to change. Even if available, the governmental approval or market clearance received for a particular product in one country may be for a different use or indication, or subject to different restrictions than in another country. Governing Law and Choice of Forum

The sole and exclusive jurisdiction and venue for any litigation arising out of these Terms or in any way related to the Site will be an appropriate court located in Barcelona, Spain.

o    If you only have access to the public section of the Services, PII collected may include: your first and last name,  e-mail address, password, city and country.

o    If you are granted access to the restricted section of the Services some additional information about your professional profile will be required, such as your job title, department, institution or company you work for, address, zip code and client ID. This PII and the listed above PII are required to access the restricted section.

How we use your information and legal reason for the processing

We process your PII for the purposes identified below on the following legal grounds:

·         To meet our contractual obligations or to take steps to enter into a contract with you:

o    To manage and provide you with access to the Site and the Services.

o    To process requests for information or support related to the Site or Services, and orders for courses that you may take.

o    To provide you with technical support, troubleshooting and incident investigation.

o    To track your learning progress and issue certificates of completion. To operate, protect and make your experience safer and better when visiting our Site or using the Services, as well to carry out the relevant administrative and maintenance tasks.

o    To send you notifications about the Services offered on the Site (e.g., notification about uploading a course questionnaire or a new course).

o    To track Members who have registered in the Site for the Services. This allows us to identify Members who have registered and those who have not registered yet.

o    To track courses that Members take. This allows us to identify the most popular educational content so that we can improve our Site and Services with similar and/or relevant educational content.

o    To send you an email survey to evaluate the content of the Services, so that we can measure your satisfaction and improve our Services.

·         To comply with legal obligations, regulatory requirements and claims:

o    We manage your PII as required by applicable law (including administrative, tax, accounting and employment obligations).

How long does Werfen store your PII?

Your PII will be retained for as long as you are Member of the Site. After that time, certain regulations require us to retain PII for a longer period of time, including to respond to any complaints or to comply with legal obligations. During this time, we will retain your PII blocked only to comply with these purposes.

 

To whom we may share your PII

We may share your PII with other organizations in the following limited circumstances:

·         Third-party service providers:

    • We use trusted third party service providers including, among others, Werfen, S.A. and Instrumentation Laboratory, Co, (both are Werfen companies) who work on our behalf as software and IT service providers. Third parties are required to use your PII only to provide the Services and always in accordance with our instructions.
    • Our third party service providers may access to your PII from countries other than your country of residence. We take steps to ensure that your PII receives an adequate level of protection in the countries where we process it. If our processing is subject to any EU data protection law and your PII is transferred from the EU to a third party outside the EU that is not recognized as providing an adequate level of protection for PII, we provide appropriate safeguards through the EU Commission’s Standard Contractual Clauses or by any other appropriate safeguard as provided for under the applicable data protection regulation.
  • Acquisitions:
    • In connection with a corporate transaction, such as the sale of all or a portion of our business, a divestiture, merger, consolidation or an asset sale, the recipient company may acquire all or part of the PII collected by us and will assume the rights and obligations regarding your PII as described in this Privacy Policy. How we protect your information

We value the trust you place in us and how important it is to protect and manage your PII.

We use commercially reasonable technical and organizational measures to protect your PII against accidental or unlawful destruction, loss, alteration, unauthorized disclosure or access and against all other unlawful forms of processing. The PII you provide us with is stored on computer systems located in controlled facilities which can only be accessed by a limited number of persons who have a need to know in order to carry out their tasks and any services requested by you.

Should, despite of our security measures, a security breach occur that is likely to result in a risk to your PII, we will inform the relevant affected parties, as well as relevant authorities when required by applicable data protection law as soon as reasonably possible.
